Terms of Service
Last updated: 2026–08–11
Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using https://classicalguitarshed.com/ or https://my.classicalguitarshed.com (the “Service”), operated by Allen W. Mathews, LLC (“us”, “we”, or “our”). These Terms cover the main Classical Guitar Shed website, The Woodshed membership program, standalone courses, and our email lists. The Transformation Year coaching program operates under a separate entity, Mathews Music Inc. LLC, and is governed by its own separate terms, referenced below.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
Subscriptions
Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly or annual basis, depending on the subscription plan you select.
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal through your online account management page or by contacting the Classical Guitar Shed support team at support@classicalguitarshed.com.
A valid payment method is required to process payment for your Subscription, which may include, but is not limited to, credit card or PayPal, or any other payment method we make available from time to time. You agree to provide us with accurate and complete billing information, including full name, address, state, zip code, telephone number, and valid payment method information. By submitting payment information, you authorize us to charge all Subscription fees incurred through your account to that payment method.
Should automatic billing fail to occur for any reason, we may issue an invoice indicating that you must complete payment manually by a specified deadline.
Fee Changes
We may modify Subscription fees at any time, in our sole discretion. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide reasonable prior notice, generally at least 30 days, of any Subscription fee change to give you an opportunity to cancel before the change takes effect.
Your continued use of the Service after a fee change takes effect constitutes your agreement to the new fee.
Refunds
Classical Guitar Shed memberships and standalone purchases are covered by a 30-day guarantee. If you are not satisfied during the 30 days following payment, you are entitled to a full refund for the amount paid, which you can request by emailing support@classicalguitarshed.com. After 30 days, all sales are final.
The Transformation Year coaching program is offered under a separate agreement with its own terms, available here: https://docs.google.com/document/d/1KIfu-GY0jGMCD4JjVhS_cuzS-o2Ijb5S4aTGHjYer78/edit?usp=sharing. Refunds for The Transformation Year are governed exclusively by that separate agreement, not by this policy.
Content
The Service may allow you to post, link, store, share, or otherwise make available information, text, graphics, videos, forum posts, or other material (“Content”). You are responsible for the Content you post, including its legality, reliability, and appropriateness.
By posting Content to the Service, you grant us a right and license to use, modify, publicly perform, publicly display, reproduce, and distribute that Content on and through the Service, including, where applicable, in connection with tools we use to operate, moderate, organize, or improve the Service. You retain your rights to any Content you submit and are responsible for protecting those rights.
You represent and warrant that: (i) the Content is yours or you have the right to use it and grant us the license above, and (ii) posting your Content does not violate the privacy, publicity, copyright, contract, or other rights of any person.
We may use automated tools, which may include AI-powered tools, to help review, organize, moderate, or respond to Content and community activity, such as forum posts. We do not guarantee that all Content is reviewed by a human before or after posting, and we reserve the right to remove or restrict Content that violates these Terms or that we determine, in our sole discretion, is inappropriate for the Service.
Media Policy
Testimonials and marketing use. If you provide a testimonial, review, comment, video, photo, or similar material about your experience with the Service, whether directly to us or by posting it on the Service or a third-party platform where we can access it, you grant us the right to use, reproduce, edit for length or clarity, and display that material in our marketing and promotional materials, which may include our website, emails, social media, and advertising, in each case without additional compensation to you, unless we agree otherwise in writing. You may withdraw this permission for future use at any time by contacting support@classicalguitarshed.com, though we may continue to use material already published or distributed before your request.
Copyrighted material in community content. Sheet music, recordings, arrangements, and other classical guitar repertoire are frequently protected by copyright, and the fact that a piece is old or well-known does not necessarily mean it is in the public domain. When posting Content to the Service, including in the forum or community areas, you are responsible for ensuring you have the right to share it, whether because it is in the public domain, you hold the rights, or you have appropriate permission. We may remove Content that we believe infringes another party’s copyright or other rights, with or without notice.
Copyright complaints. If you believe material on the Service infringes your copyright, please contact us at support@classicalguitarshed.com with: (a) a description of the copyrighted work you believe has been infringed; (b) a description and location (such as a URL) of the material you believe is infringing; (c) your contact information; and (d) a statement that you have a good-faith belief the use is not authorized, and that the information you provide is accurate. We will review and address good-faith complaints, which may include removing or disabling access to the material in question.
Trademarks
“Classical Guitar Shed” and “The Woodshed” are registered trademarks of Allen W. Mathews, LLC. You may not use either mark, or any confusingly similar name or logo, in connection with any product, service, business name, domain name, or other use likely to cause confusion about our sponsorship, affiliation, or endorsement, without our prior written permission.
Nothing in these Terms grants you any right, title, or license to use our trademarks except as expressly permitted here. All other trademarks, logos, and brand names appearing on the Service are the property of their respective owners.
Accounts
When you create an account, you must provide accurate, complete, and current information. Failure to do so is a breach of these Terms and may result in termination of your account.
You are responsible for safeguarding your password and for any activity under your account, whether on our Service or a related third-party service. You agree not to disclose your password to any third party and to notify us immediately of any suspected breach of security or unauthorized use of your account.
You may not use a username that belongs to another person or entity without authorization, that infringes a trademark or other right, or that is otherwise offensive, vulgar, or obscene. We are not liable for any loss or damage arising from misrepresentations you make in connection with your account.
Automated and AI-Assisted Features
The Service, and our operation of it, may involve the use of automated tools, including AI-powered tools and technologies such as MCP (“Model Context Protocol”), for purposes that may include, but are not limited to: customer support, content drafting or organization, personalization of content or offers, moderation, and internal workflow automation. Additional detail about our use of these tools is available in our Privacy Policy.
Any content, recommendations, or responses generated or assisted by automated or AI tools are provided on an “as is” basis and may contain errors, omissions, or inaccuracies. We do not guarantee the accuracy, completeness, or suitability of AI-generated or AI-assisted content for any purpose, and such content should not be relied upon as professional advice of any kind. We may, but are not obligated to, review AI-assisted output before it is used or provided to you.
Links To Other Web Sites
The Service may contain links to third-party websites or services not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services, and are not liable for any damage or loss caused by or in connection with your use of or reliance on them.
We strongly advise you to read the terms and privacy policies of any third-party sites or services you visit.
Termination
We may terminate or suspend your account at any time, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your own account, you may simply discontinue using the Service or contact us to request account closure.
All provisions of these Terms which by their nature should survive termination will survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Indemnification
You agree to defend, indemnify, and hold harmless Allen W. Mathews, LLC and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including reasonable attorney’s fees, arising from or related to: (a) your access to or use of the Service, by you or anyone using your account; (b) your breach of these Terms; or (c) Content you post on the Service.
Limitation Of Liability
To the fullest extent permitted by applicable law, in no event shall Allen W. Mathews, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to, use of, or inability to access or use the Service; (ii) any conduct or content of any third party on the Service, including other users; (iii) any content obtained from or through the Service, including content generated or assisted by automated or AI tools; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been advised of the possibility of such damage.
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that: (a) the Service will function uninterrupted, securely, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service, or any content provided through it, including AI-assisted content, is free of errors or harmful components; or (d) the results of using the Service will meet your requirements or expectations.
Educational content, not professional instruction or advice. The Service, including The Woodshed, standalone courses, videos, lead magnets, emails, and any other instructional material, is provided for general educational and informational purposes about classical guitar technique and practice. It is not a substitute for individualized, in-person instruction from a qualified teacher, and nothing on the Service should be understood as personalized professional advice tailored to your specific circumstances, abilities, or physical condition.
No guarantee of results. Progress in learning guitar depends on many factors outside our control, including your starting skill level, practice consistency, physical characteristics, and individual circumstances. We do not guarantee that you will reach any particular skill level, achieve any specific outcome, or experience results similar to those described in testimonials or examples on the Service. Testimonials and outcome descriptions reflect individual experiences and are not a guarantee of your results.
Physical practice and health. Playing guitar involves repetitive physical movement, and, as with any physical activity, carries some risk of discomfort, strain, or injury if practiced with poor form, for excessive durations, or without appropriate rest. You are responsible for practicing at a pace and intensity appropriate to your own body, and for stopping and consulting a qualified healthcare professional if you experience pain, numbness, or other concerning symptoms. Nothing on the Service constitutes medical advice, and we are not responsible for any physical injury or health issue arising from your use of the instructional content or your practice of guitar generally.
Exclusions
Without limiting the foregoing, under no circumstances will Allen W. Mathews, LLC be liable to you or any other person for any indirect, incidental, consequential, special, punitive, or exemplary loss or damage arising from or relating to your use of the Service, these Terms, or their termination, including but not limited to personal injury, loss of data, business, income, profits, use, reputation, or goodwill, under any theory of liability, regardless of negligence or other fault, and even if advised of the possibility of such loss or damage.
Governing Law
These Terms are governed by the laws of the State of Oregon, United States of America, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms is not a waiver of that right. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. These Terms constitute the entire agreement between us regarding the Service and supersede any prior agreements between us regarding the Service.
Changes
We may modify or replace these Terms at any time, in our sole discretion. If a revision is material, we will try to provide at least 30 days’ notice before the new terms take effect, though what constitutes a material change is determined in our sole discretion.
By continuing to access or use the Service after revised terms become effective, you agree to be bound by them. If you do not agree, you must stop using the Service.
